weton here cgill here 12:10 mckenley here and before we go into tonight's Community Spotlight for those that weren't at the 6 PM meeting we did have 12:18 the election of the council president and vice president and just want to thank the entire Council for um we'll 12:26 say entrusting me to continue another year and this role and um it's uh it's humbling to have the support to continue 12:34 on another year and I'm looking forward to helping the city and our residents and then also um the council did elect a new vice president so congratulations to 12:43 councilman Gary for I senior he is our new Council vice president so congratulations councilman for I and 12:51 we're going to go a and move in tonight's Community Spotlight and I'll get my graphic pulled up here 13:04 all right there we go and tonight's 13:14 Community Spotlight is Mr Kyle Whitman and Kyle if you want to come on up to the front 13:25 here you can come all the way up stand right right here you get to stand almost front and center 13:34 yeah you just want to stand right here and we're going to recognize you so um lots of respect for this guy right 13:42 here and if anyone doesn't know why he's standing here I I hope after we're done um you know there's just more 13:50 recognition for what you did so um you know Kyle Whitman is a resident here in Maran and at 11:15 p.m. on September 6 14:00 2024 Kyle Whitman heroically went into his neighbor's burning home in the 3100 block of South Race Street after hearing 14:07 screaming uh he selflessly ran in to save his neighbor and animals and even moved his car to head put the 14:15 headlights onto the house so they could see better uh and then you know a lot ensued in there you they're breathing in 14:22 a lot of smoke and trying to save the neighbor and uh ultimately you know helped save his neighbor and quite a few of the pets that were inside the house 14:32 um and Kyle didn't didn't even blink and um you know he is the epitome of just we 14:39 say a hero right you didn't get paid to do that that day you didn't go to work to do that um you were just sitting at home watching television and saw 14:47 somebody in need and went in blind and uh sacrificed your own life and uh Kyle 14:54 almost lost his life in fact um doing that so because shortly after um he was getting checked out by the medics for just smoke 15:02 inhalation and um realized something was going on so during all of that process which you know get your adrenaline going 15:10 get your heartbeat going um a lot started going on with Kyle's Health right there on the scene and uh he ended 15:18 up being Lifeline to the hospital uh where we received two stin um and there's I think a couple other things that you could share too I mean you got 15:26 two stent and and he was in the hospital hospital for for for a while there and it it it wasn't good two days two days 15:34 they wanted me longer but they wanted him longer but he needed to get out in case another neighbor had a fire right 15:41 to save them so I would do it again but to be be called a hero I mean not a 15:50 hero just seem something that needed to be done just did 15:56 it stupid as what stupid uh my wife says that I get in 16:04 trouble A lot of times for uh not thinking and well that probably been one of them well uh you know I I appreciate 16:13 you your humility and and being humble about it but uh you know to to that on that day to either your neighbor and and 16:21 the those animals you know you you're really were the hero to them so um I've been wanting to get you in here for a couple Council meetings we wanted to do 16:28 it last meeting but he had some stuff come up um but you know I've known about this for quite some time I do know Kyle 16:35 um through another Avenue outside of the council and was aware of it pretty quickly after it happened and um just 16:43 had been on my mind a lot and wanted to make sure you're okay I did call him at some point checked in on them U but I do 16:51 understand too and I wanted to use this platform um because you know Kyle wasn't able to work for quite a while 16:59 and um you know if you don't work for a while that can put a little bit of an economic strain and so you know I know I think you're back to work now right are 17:08 you back full-time or working your way into it yeah working my way into it there's still a few things that like I 17:15 can't do or shouldn't do doctor says I shouldn't do it wife says that I 17:23 should so we want you to take it a little bit easy but you know it creates an economic strain and so actually a 17:31 GoFundMe was set up to help um and so I really encourage anyone watching online anyone in here to just make a 17:38 contribution um to to kind of help them get back on their feet uh you know I can only imagine being in your shoes and the position you're in of you know he try to 17:47 do something right and then you can't work or you can't work as much and you know Kyle's got a wonderful family here 17:55 um kids' support and a wife and um so I just encourage everybody body to to support um you know there's a QR code on 18:03 the screen uh and a link as well so encourage everyone if if you don't have a chance to catch the QR code or whatever just get a hold of me and I can 18:11 send you the link um but you know the the goal that was set up um was for to raise 5,000 currently they've raised 250 18:20 so I really want everyone to help us get to that goal um even if it's just $10 so just wanted to use that platform to try and help you out as well because um you 18:29 know Maran is a wonderful City and and we want to recognize wonderful people like you in our community so just want 18:37 to give you a hand to 18:50 give good deeds don't go unnoticed um and so I yeah go ahead U I just want to 18:57 say as I'm a retired firefighter too and my brothers back here they'll tell you too that you hear that word hero a lot and we don't feel but for you to go in 19:06 not being a firefighter with no protective gear you may not think you're a hero but I'm telling you I know what amount of Courage that that took to do 19:14 that and I just want to shake your hand also want to invite his family on 19:20 up here uh all of the family can come on up and truthfully any of the other firefighters that show up so those some of the firefighters in the back showed 19:29 up to sport you as well um so any and all of you we encourage it we let to get a photo while they're coming while 19:37 they're coming up the word stupid got thrown around when you you know I bet your neighbors and the rest of us don't 19:45 associate the word stupid with that so gratitude and thank you would be a couple other words I'd use thank you 19:52 well done yeah I reports Council woman divine okay so we started off the new year with 22:33 uh the border of Works meeting this week um they welcomed a new member Virginia Drake to take the place of Megan Gilmore 22:41 who had resigned at the end of the year um and then they also had their election of officers keeping Alex husky as chair 22:50 and um voting Vicky and I've lost her last name all of a sudden as the vice chair um 23:00 uh Mr for I or Mr fosite gave a um update on some of the unsafe structures 23:07 that they've been watching there's um a particular owner who owns several properties and he has continuing to um 23:15 move forward get permits work uh have open communication and they're very pleased with the way that that's going that they're able to to help save some 23:24 of the houses and um and make them safe again for for for habitation um the City attorney also 23:32 spoke with the board about approving a um request for proposals and 23:39 qualifications on an Innovative TurnKey Energy Services solution so they are 23:46 working on um getting that information and then be able to bid out some of repairs to the heating and cooling of 23:55 specifically this building and possibly other buildings um um and and so I'm I'll be interested in 24:03 seeing that as they move forward and how those proposals come in and and talking to those individual groups and seeing what they're what they're doing um I 24:12 believe and I had talked to them at the meeting isn't that similar to something that had been done 10 years or so ago 12 24:21 years ago was that what we paid off last year um then initial am I correct on 24:28 that okay so um that's why I said I'm kind of interested to see how that goes this time and what what's being proposed 24:35 and what the um potential savings and and repairs are going to be as we all know there's obvious some major issues 24:42 with the system especially here at City Hall um one of the other things they looked at uh or that the board approved 24:50 were the memorandums of understanding um with the county regarding some arpa funds that the county has given over to 24:57 the city um specifically earmarked to help with the um um animal control and then some 25:06 downtown improvements yes so two parts of it for the animal control um department and 25:14 then um some you're marked for downtown improvements as well that the county has given that to the city and that was 25:22 everything they did all right thank you so much councilwoman divine any other committee 25:29 reports or liaison reports yeah I do Mr President go ahead the uh Board of Aviation Commissioners met January 2nd 25:39 and their big news is uh Ray Dosh retired who's a retired um corporate pilot I know he flew a long time for 25:48 belf fiber he is a a new member and is also now the new president of the 25:55 aviation board Mark Johnson is the new vice president president and the high school classroom is getting two drone 26:03 simulators soon but I hope they give us a demonstration of that that sounds kind of cool and that's what I have thank 26:16 you all right thank you councilman Klein any other committee reports or 26:23 liaison reports okay and we're going to go ahead and 26:32 move into unfinished business actually no there is no unfinished business we're going to move into new business and general ordinance 26:40 01225 petition to vacate a public right of way in the 2000 block of South Clark 26:48 Street an ordinance to vacate a portion of the 2000 block of South Clark Street from 2002 South Clark Street to 2009 26:57 South Clark Clark Street an adjacent alley to the east in the city of Marin Indiana the Mary Municipal Utilities 27:05 currently owns all the real estate bordering on both the East and West sides of Clark Street on the east and west sides of the portion of Clark 27:14 Street to be vacated as well as the subject alley to be vacated the purpose of the proposed vacation is to allow the 27:22 installation of a combined sewer overflow storage tank as part of the utility CSO long-term control plan that was 27:32 approved by IDM speaking attorney Mike Connor welcome thank you good evening 27:39 ladies and gentlemen it's good to be here I am the attorney for the Maran Municipal Utilities and we filed this P 27:46 petition to vacate a portion of South Clark Street uh if you have any questions feel free to let me know but 27:54 basically the way this was described by the clerk is correct uh this is a long-term control plan 28:02 process it's been imposed on the city of Marian by IDM very expensive and something we're working on over the 28:11 years and part of what we've done is we've been to the board of works and gotten U ownership of properties in the 28:19 area we basically own almost everything around this portion of Clark Street and 28:26 the reason we would like to vac at Clark Street is so that an above ground storage tank for overflows can be placed 28:36 on the property I understand it's going to be landscaped and trees and green space put around it so it's not a big 28:44 eyesore and I think you can tell from the map it's a kind of a not exactly a 28:51 dead end but close to it part of Clark Street um we've uh suggested giving 28:58 notice to some neighbors in the area even though that's probably Overkill just to be fair to them uh since it's 29:06 very close to them but under the statute they're not technically abing the uh part of the street and this alley that 29:16 to the east that we asking also to be vacated so um uh it's also been run by the traffic 29:24 committee and uh if there are any questions I've got a couple of folks here from the Maring utilities that can 29:31 answer specifics I do the legal but that's I can't really talk too much about the technical part of uh the 29:40 storage unit uh tank that they're going to place on the property and so forth so we would just ask that uh the council 29:48 pass this in first reading and move it on so we can get notice published and notice to the um nearby land owners and 29:57 proceed with this project I would add I understand that if we can't vacate 30:04 this we could still put in some kind of a storage tank but it would be millions of dollars more expensive that's my 30:12 understanding I think Pat Pinkerton who's here could explain more if you have any questions about that so is there anything that any questions that 30:20 we can answer for the council any questions 30:30 I I have one uh or maybe two um is there ever a possibility I know everything's possible 30:38 but that this would ever need to be expanded or increased in size or do you think this is all we're going to need to 30:45 do for the for foreseeable future yeah so our understanding from 30:55 the engineering firms that we've been working with is that this would be sufficient to meet the guidelines that have been set forth by IDM according to 31:04 our long-term control plan and then if we're going to vacate part of a street I mean there are some 31:12 houses that will at least one um Lot 31:19 10 uh are they still going to be able to access their front and rear of their home easily or should is there going to 31:27 be a like a roundabout or anything put in or just or not a roundabout um called the saac or is it just going to dead end and then they'll still be able to get in 31:35 and out easily yeah we will need access to and we'll need a place to turn around and so that'll be um the homeowner on 31:42 the homeowner side of things um there will be a space for a large vehicle to turn around uh trash trucks and utility vehicles as well so that shouldn't be an 31:51 in a problem to impede access to the homeowner's property 31:59 and then you said it did pass through the traffic commission favorably yes okay it's all the questions I have count 32:08 or vice president cal um vice president fores I gota get used to it I just asked do we have the blessings 32:15 from the uh gas company and Electric Company on relocating any other Utilities in that area that are going to 32:23 have to be relocated since you're putting in a storage tank we normally try to get a letter of acceptance from 32:30 both the other utilities that there's nothing impeding I believe that that is part of the process that that gets 32:37 issued to them to give uh entities like that the chance to speak up we've not received anything to that 32:47 effect yeah yeah okay thank you and also I have some contacts through both and I'll be following up 32:54 with the U vetran and AP contacts as well as this moves along to make sure they're good as well utilities like to 33:03 play nice together I would hope so yes all right any other council 33:12 members okay no other questions I would entertain appreciate the information and moving into resolution 1 37:53 d225 a request to uh request to approve an economic development agreement between the city of Maran and Cafe 38:03 Valley a resolution of the common Council for Maran Indiana approving an economic development 38:10 agreement Cafe Valley has advised the city that it desires to further expand its production capacity across its 38:17 Network by investing not less than approximately $2,300 th000 completing the project which 38:26 includes a substantial investment in new manufacturing equipment R&D equipment logistic distribution equipment and it 38:35 equipment all to be located at its current facility in Maran as a result of the project Cafe Valley will hire 38:44 approximately an additional 100 full-time employees by 2026 at an average salary 38:52 of not less than approximately $19 per hour to induce C Cafe Valley to complete the project the city desires to provide 39:01 Cafe Valley with a 12year personal property tax abatement among other rights and obligations of Cafe Valley 39:09 and the city all is more particularly defined in that certain Economic Development 39:16 agreement speaking Chris grle and Joe Murphy good evening coun uh for those 39:23 that don't already know me um Joe Murphy I was hired by Morel part-time to oversee Economic Development activity for the city back in May of last year 39:32 and then I had the fortune of uh being unanimously approved as the executive director for the Redevelopment commission for the city of Maran uh back 39:40 in November of last year so it's in that capacity that I'm speaking before you here today uh just like to provide you with a brief overview both of the 39:48 project and then of three documents before you today the economic development agreement the waiver of compliance and then the um declaratory 39:55 resolution and then I'll ALS o got Chris chrysle with me today as well as a representative from Cafe Valley who's going to provide a brief statement so on 40:03 the matter of Cafe Valley I want to First provide some background for everybody here Cafe Valley first came to Maran in 2014 11 years ago investing 40:11 tens of millions of dollars to build their facility with an initial goal of hiring 400 people fast forward to present day over 10 years later and 40:19 they've invested $40 million in that facility and have created over 700 jobs now Cafe C Cafe valleys come back to the city to share that they want want to 40:27 invest an additional $20 million to create another 100 jobs and add an additional line of production to their facility here in Maran I apologize my 40:36 phone sorry about that uh those jobs will be paying an average wage of $19 an hour and uh the $20 million would go towards purchasing 40:45 new manufacturing equipment to produce that new line that be producing a new product for uh the Girl Scouts of 40:52 America um the city is proposing to authorize a 12year 100% personal property tax abatement to help support that project one thing I want to pause 41:00 to note is that by approving this abatement the city is not losing out on any additional tax revenue or new tax revenue um this is where we get into a 41:08 bit of a history lesson but at the time Cafe Valley established its new facility in Maran back in 2014 that Administration issued a series of taxable Economic Development revenue 41:17 bonds for the project there's two separate series here the series A bonds which are payable from the project Tiff and the series two bonds which are 41:25 payable from offsite Tiff important to remember the A1 bonds are responsibility of Cafe Valley and the A2 bonds are responsibility of the city and the 41:33 Redevelopment commission it's important to note that due to the complex structure of these Bonds in recent years project Tiff has 41:41 been short on covering the total payments for the series 1 bonds resulting in Cafe Valley making shortfall payments in excess of $200,000 41:48 annually over the last several years similarly because the A2 bonds are only payable from off-site Tiff not the project 41:55 Tiff and to to date there's been little to no activity outside of the project the city Redevelopment commission has also been making a short fall on the A2 42:03 series bonds again somewhere in the range of $200,000 annually for this reason even if there this new investment 42:10 were not to be abated and all those new taxes were allowed to flow into that Tiff uh the Tiff would fully capture the existing uh those new funds within the 42:19 existing debt structure leaving no access Tiff available for any other uses now I want to quickly touch on each of the three resolutions you have in 42:26 front of you uh and the consideration this evening first you have an economic development agreement this document lays out the full structure of the tax 42:33 payment which was read very eloquently by the clerk it explicitly lays out the obligations of Cafe Valley in the city of Maran as part of this deal it also 42:41 details remedies the city has at its disposal if Cafe Valley feels to reach fails to reach its stated investment or job goals uh one additional important 42:50 note to mention here with this Economic Development agreement is that we've also included language authorizing the city through the Redevelopment commission to refinance both the series A1 and the 42:58 series A2 bonds at a time at which it will be beneficial to both parties um if this Eda is approved we will work closely with our attorneys and 43:06 our financial advisers to proactively begin that refinancing process and execute that refinancing at a time where like I said it'll be beneficial to both 43:14 parties resulting in substantial drops in those uh ex those um payments that were required to make those shortfall 43:22 payments we're going to make uh both on the city side and the cafe Valley side so very very important to understand that the second document is a resolution 43:30 regarding the waiver of non-compliance due to the pressure of beginning its expanded production to support its new contract with the Girl 43:36 Scouts of America Cafe Valley had to install a portion of its new equipment on the site so if you go out there today 43:44 you'll see that some of that equipment has already been purchased and installed some of those employees have already started to become part of that Workforce there um it's not uncommon for projects 43:53 like this that that takes place we have to have a situation where Cafe Valley has to meet its contractual commitment to to Girl Scouts of America but the 44:02 bureaucracy of of tax abatement can often drag behind that process so um state law has allowed for us to remedy 44:10 that situation through this waiver of non-compliance it's not stating that we're not following the rules of the cafe or of the tax abatement law just saying that we went about them in a 44:19 little bit of a different order um so it allows us to proceed with the abatement and Abate the entirety of the investment even though some of it took place before 44:28 the actual process of the erra establishment and the declaratory and confirmatory resolution are passed finally you have the declaratory resolution in front of you this is 44:36 establishing that economic revalation revitalization area and actually authorizing the abatement this is the statutory process that we have to go 44:44 through for all abatements uh it's required that we do these in order to um meet the requirements of tax payment for 44:52 Indiana if approved you will then be required to conduct a public hearing and at your meeting in February at approve that confirmatory resolution which is the final step to approve the abatement 45:00 process um I now want to welcome up Jacob Everett from Cafe Valley to just speak briefly about Cafe Valley's work 45:09 here in the city of Maran this new project and um their excitement to continue the relationship with the city of 45:16 Maran welcome it's good to see you to see you again sir good to see many of you again um thanks for having me here 45:24 first I want to thank uh the mayor and his team all seated here here as well as chuck with the growth Council everybody's put a lot of time and effort into working on this over many many 45:32 months here and uh I think we've come to a place that makes a lot of sense to help Cafe valy continue to grow and um 45:41 partner with the city so a little bit of background Joe did a great job explaining kind of where things are I think Cafe Valley asked me a number of 45:50 months ago to kind of help them figure out you know where they were going to put this investment and if they were going to put in Indiana kind of how to navigate at this partnership with the 45:58 city and the state of Indiana and we've been working on that ever since and so um like I said myself and Joe and the team here um in Maran has really been 46:07 trying to figure out how to put something together that makes sense for the city and for Cafe Valley um obviously this is a large investment as 46:15 as Joe said I think their original commitment was around 400 jobs they're north of of 700 now and they want to continue to grow that up to at least 800 46:24 so significant growth here and um I know Andy and some other folks uh with Baker Tilly we work we see a lot of these 46:32 these Bond structures and Chris as well this is this is a unique one this is very uh uh unique and and complicated 46:39 this this uh Bond structure that was put put in place back in 2013 and so um it took us a lot of time to kind of peel 46:47 that onion apart and then figure out how to put it all back together in a way that made sense and um that the city and the company could work together so um I 46:55 know it's very kind of odd to see um a longer term abatement and 100% abatement but given the confines of the bond 47:02 structure and what we're working with um as Joe said there's there is zero loss to the city which was really frankly 47:10 important to Cafe Valley um certainly we're we were looking to work with you on tax abatement but but the company was not looking to um act in a way that was 47:18 going to really you know do something to harm the city and so because of the complicated Bond structure um this tax abatement structure that we brought to 47:26 you today actually makes a lot of sense so um I will just just note I think it's it's been a good constructive you know 47:33 six plus months that we've been working on this I think to nobody's fault there's new leadership at Cafe Valley there's been a lot of new leadership 47:40 within the city and you know I think that relationship had kind of um Grown Apart a little bit and so this project has has given us an opportunity to get 47:48 everybody communicating again I know the mayor and his team uh were out at the plant just recently visiting and so rebuilding that relationship and having 47:55 a positive open dialogue between the the city and the company which which I'm glad to see is is happening again so um 48:03 I know uh you've got a bunch of experts here to answer all your questions I'm happy to help as well but um thanks for for the opportunity to be here and we're 48:12 happy we've been able to work with the city to put together what's in front of you which what is we think is a a good opportunity to help Cafe Valley continue 48:19 to grow here in Maran thank you so much anybody else want to speak I was just gonna say we'll open it up the 48:27 questions okay delegate the right professional to speak to the all right yeah any council members questions uh 48:35 councilman calill yeah I have a a couple um there you can't get as any more uh information 48:43 on where you're willing to rewrite the uh the bonds that that will affect be beneficial to the city as well as I mean 48:53 I just wish I had some information on what that was because and it's not I don't trust Cafe Valley but we we had 49:01 people promise us and say things before and then after the abatement was done AKA metal Source it wasn't anywhere 49:08 close so I I I mean this is a a big project this a lot of money here and I just would like to have some 49:17 information on what that is you know that would help us do that and then 49:24 um this is a 100 new jobs now did did Cafe Valley lay people off recently or anything no we're not aware of any 49:33 recent layoffs with Cafe Valley and I double checked that with Jacob today and not aware of any layoffs that have taken place their employment's at at record 49:40 high for the Marian plant okay yeah uh related to the debt I I guess is 49:47 the question related to the the old debt the 2014 debt um so as I mentioned there's there's two separate series that 49:56 are right so we've got um Cafe Valley's portion which we've had Baker Tilly run numbers on um and Andrew you'd be happy 50:03 to come up and speak if you have additional information to add to that but right now um with the current structure in place Cafe Valley's 50:11 estimated that over the next 12 years with even with an abatement Cafe Valley will be paying roughly $3.5 50:19 million in shortfall um so they're they're they're paying significant monies towards this Debt Service um that 50:27 was meant to be covered entirely by the project Tiff um and that's not taking place in the city's portion like I mentioned it's about $2 $250,000 50:35 annually it fluctuates a little bit here and there um so we're paying somewhere about $3 million for the next 12 years in shortfall that's why the refinancing 50:42 procedure in our opinion is is very very important and we wrote that into the economic development agreement to ensure that the city controls that process 50:50 moving forward and we have control over both the A1 series and the A2 Series so that we can execute that deal at the time that's that's most helpful to the 50:58 city and Andy's hobbled up here and I think he's probably got a little bit more he'd be happy to share with you hobbled up is a good way to describe it 51:06 um so you know as far as those existing 23 2013 bonds that are outstanding those are really outstanding until they're 51:13 either paid off or mature right um we've looked at those over the years um the interest rate on those is currently a 51:19 5.46% um taxable interest rate we do think as interest rates start to come down there's the ability to potentially 51:26 refinance those and that would decrease the debt payments on the bonds which would really have two benefits um one it would decrease the shortfall payments 51:35 that Cafe Valley is currently making and then it would also um potentially decrease that 200 to 230,000 that the city's been obligated on um taxable 51:44 interest rates at the end of last year were down to about below 5% for similar bond issue um so we're very close to the point I think you know as we get into 51:52 the next you know six months we could potentially see rates come down enough where would justify you know the cost of proceeding with the refinancing and 52:00 that's what I'm I I'm a numbers guy when it comes to business so that's kind of where I'm just trying to get these calculations in my head and put together 52:08 and see kind of what makes sense and everything the the only other thing that concerns me is the 100% for 12 years to 52:15 my knowledge unless anybody else on the council knows we've never done 100% for 12 years um I'm not saying we can't you 52:24 know I'm just it's just kind of a lot of information all at once and then to say okay now we want you to vote on it right now 52:32 I I would just like a little time I mean I don't know this is just kind of my input on this right now but I'll go ahead and let other questions go right 52:40 now thank you guys yeah absolutely and if I could just address one point there and I think uh again Andy can probably add a little bit more light to this as 52:47 well um because of the complexity of this debt structure um Cafe really really is getting hit over the head 52:54 twice with these payments and um um as we increase abatement um what 53:02 happens is actually their A1 series payments go up because there's less tax revenue inside of that Tiff project area 53:09 to service their existing debt and so when we when Andy and his team ran to the original simulation um what we thought the outcome was going to be end 53:18 up being substantially lower um so while you'll see and maybe your packet or what's been shared with you previously you know the tax savings on paper with 53:26 this abatement is about $1.3 million over the 12 years the reality is when you factor in the additional payments that are going to be required to be made 53:33 by Cafe Valley over those 12 years for those A1 series it actually Nets out to be about a savings of $620,000 for the 53:41 for Cafe Valley so um again it goes back to this really complicated debt structure that was created back in 2013 that's kind of hamstrung all of this 53:49 process so the reason we had to up that abatement level Beyond what's been traditionally acceptable uh to this community 53:57 is to try to overcome some of those existing things that are hamstringing the process right and that's and I'm all for helping Cafe Valley I mean I'm all 54:05 for anything to help the city and everything I just like I said I just putting the numbers together you know like you guys said yes 54:14 sir any other council members can you U you know I wasn't on 54:25 the council and 2013 2014 uh as nicely as you can what went wrong why are we in this position what 54:34 could have been done differently to prevent where we're at and you want to take a stab at 54:43 that yeah can you turn your mic on Gary you 54:54 had to combine a couple and refinance them back then on Cafe valet so they are taking the brunt of more than one 55:01 Tiff and we did that on a short fall of another Tiff that did not work out so 55:08 that's why we're where we're at on this so I think everybody needs to know that that was during previous administrations 55:15 to where another business failed and we had to refinance another tiff with that Tiff and that's why we're on a 55:24 shortfall I can only you know speculate late um so we started working with the city again in 2016 we did not work on the original 2013 deal but we do see 55:32 that you know as we work in communities around the state from time to time you may have oversized Tiff bonds and what that does really is give you know the 55:39 company benefit with their initial investment but then also gives them some upside as they continue to reinvest and um you know that could have potentially 55:46 been the reason that not only did they capture the investment they made back in 2013 2014 but it also kind of gave them kind of a head start on you know this 55:55 investment that's occurring now or investment that may have happened in previous years so um it is you know not super common but we do see that from time to time on non Bond issues where 56:03 they may be oversized um again Cafe Valley took the risk if they didn't continue to reinvest they're responsible for those payments but to the extent 56:11 there is additional investment it it kind of stays within that existing structure so for for those watching or 56:19 or listening that maybe don't understand what tiffs are and all that am I correct in in thinking that if 56:26 this were to be approved well let's just say as it sits right now our taxpayers are footing some of the bill so our 56:34 taxpayers are essentially subsidizing what's going on down there correct I mean if we're if the city's 56:42 paying money that's our taxpayer base so our citizens are subsidizing some of that payment but if 56:50 we were to pass this that stops that bleeding Plus we're now going to start 56:57 receiving taxes am I correct to assume this you I'll let you take a chance at that one 57:06 um I just think our citizens our taxpayers deserve to know really how does this boil down you know there's a 57:14 lot of I understand tiffs but if I didn't I'd be like I don't know this sounds like foreign language to me but I think at the end of the day it's what's 57:22 the impact on our right tax paying base correct um and again you know with the original deal predating us my understanding was when it was done in 57:30 2013 there was an A1 bond which is backed by Cafe Valley and that was used to fund improvements at Cafe Valley's 57:37 facility as as many as you many of you know that's the old RCA Thompson site so there were other improvements kind of being made in the area at the same time 57:46 I think there was an Amvets facility that was relocated some other public improvements and so the A2 bonds while they're part of the cafe Valley 57:54 structure they're not actually repaid from Cafe Valley Tiff they're repaid from I think what was hoped at that time would have been other growth within the 58:01 area and that growth just never materialized so you know councilman you're correct the city does sub subsidize those A2 bonds um but those A2 58:10 bonds really were for public improvements rather than for Cafe Valley specifically so some of the Tiff money we're receiving within that area which 58:18 is really taxpayer dollars is going towards those bonds am I correct correct yes that's correct so the A2 series is 58:27 Andy mentioned is being paid by kind of the offsite Tiff is what we're calling it and and right now there's nothing really being generated in that area of 58:34 the Tiff and so the city through the Redevelopment commission and other instruments is having to make those shortfall payments um if we look at a 58:42 scenario with or without a batement that A2 series doesn't change a lot really it stays pretty much stagnant because whether or not there's new money going 58:50 into the project or not that's being captured in a separate area of the Tiff that does not get to be payable out of those A2 bonds so the city's portion of 58:59 the hook really does not change the only thing that we gain an advantage of by doing this project other than supporting a good business and helping them make a 59:08 new investment and create new jobs is that we get them in a position where we now control the opportunity to refinance these bonds and lessen those shortfall payments in the future by getting a 59:16 better rate and getting a better structure that's correct that's correct 59:26 so in either scenario the city right now is making a a large shortfall payment annually and our only way out of that would be to refinance and and help 59:35 lessen that shortfall I thought I read somewhere 59:43 there was um because you got three resolutions I don't know which one it was in that we um that Cafe Valley will 59:53 make the set contribution or payment correct was it 200,000 or there was there a certain 1:00:01 dollar amount that they're going to contribute moving forward um well so they they'll be responsible for the entirety of the A1 1:00:09 series um which is the case currently as well so um the the the tax abatement actually 1:00:17 will only impact that negatively uh because there will be less project Tiff to support those series A1 bonds so 1:00:25 they'll actually their their shortfall will increase but the tax batement will exceed that by a substantial amount that was the math that I was giving 1:00:33 councilman Cowgill earlier so the abatement they would receive on the $20 million would help 1:00:41 offset what they currently are having to expend that's correct so right now they're paying their full tax bill and then they're also making additional 1:00:48 shortfall payments what would happen in the future is that they would still be required to make their shortfall payments but their tax burden would be less in because of this new investment 1:00:57 would be 100% abated so that that's where they receive some benefit and then hopefully in the future if we are able to refinance they 1:01:04 will also receive some shortfall relief as well so it'll be a mutually beneficial um 1:01:13 refinancing and that was and that is when the figure of approximately $600,000 came into play correct over the 1:01:21 three years or excuse me over the 12 years savings to Cafe Valley if we give them the 1:01:30 12year tax abatement that's correct roughly $620,000 do we know what type of savings if we 1:01:37 refinance the city's portion what type of savings on a yearly basis we're looking at and how quick can that 1:01:47 happen I can take that one um again we're at a point where interest rates I think taxable interest rates are in a low 5% um your interest rate on the 1:01:54 outstanding bonds is .46 so there's not a whole lot of of difference in that rate yet um going back two or three years rates were at a point where they 1:02:03 were in the three and a half to 4% range and at that point that $230,000 payment we were able to get down by4 50,000 per 1:02:11 year if I remember correctly so I think there's a potential to cut that 230,000 you know down pretty substantially per year um it would just take interest 1:02:19 rates continuing to move in the direction they've been moving um so I think if rates come down another 50 basis points 100 basis points we make get to the point where it makes sense to 1:02:27 to proceed again thank you thank you it's been very 1:02:37 informative any other council members questions uh yeah councilman coin yeah thank you my gut tells me I like this I 1:02:46 don't have a big problem but my another part of my gut says I don't want to go through all of this decide all of this 1:02:56 in one night so if I may I would move that that we send this to the development 1:03:03 committee to hammer out more ask more answer more questions than doing it all in one night and then come back that's a motion I'll 1:03:12 make and this is not a knock on anything I you know absolute trust and faith and 1:03:19 everything I just want to listen and talk some more not be here till 10 1:03:26 but I just want I'm keep my head spinning to a minimum I 1:03:34 guess I would second Mr Klein's 1:03:40 motion okay so I've got a motion to send resolution 1 d225 to the 1:03:49 development committee well actually I'm making that for all three of them all three resolutions because they're 1:03:56 sort of joined at the hip are they not can we do can we pass one without doing the 1:04:05 others yeah at least from my reading yeah you know these are traveling together that's that's correct yeah they're 1:04:13 all different components of the same deal so my motion would be for all 1:04:22 three so motion by councilman Klein to send resolutions 1 two and 3-22 to 1:04:30 development committee there was a second by councilman Kane uh any discussion is there should there not be 1:04:39 a a desired outcome from what comes from the committee in part of your motion or not it just just going to motion and so 1:04:48 what what would happen if it would go to committee and the committee would you know have a meeting or however made a meeting they would like 1:04:57 and essentially come back with a a recommendation one way or the other send it back to the 1:05:04 council um and then we go off for their recommendations so but my my question to 1:05:11 um since we're in discussion is resolution two uh had a public hearing 1:05:17 attached and so from a legal standpoint from a legal standpoint just 1:05:24 re do we do we not need to have the public hearing if it moves to development or should we still have the public 1:05:32 hearing from a legal standpoint if you could you so I'll I'll leave that up to you I the the public hearing on the 1:05:40 waiver of non-compliance was to Simply allow the process to move forward understanding that Cafe Valley has already uh put some 1:05:47 of the equipment into its facility so by conducting the public hearing tonight and approving that waiver resolution you're not approving any portion of of 1:05:55 the agreement if you want to continue to go forward with it that just allows the process to continue out I also understand if you want to conduct the public Hearing in accordance with the 1:06:04 other tabled resolutions all at the same time we would just probably come back and have all three tabled at the same time after we get through committee so 1:06:13 I'd leave that up to council's discretion but could we do the second reading or the public reading tonight and then would that satisfy well we 1:06:22 wouldn't have to do it like in two weeks and then they could be passed in two weeks instead of waiting another two weeks for a public hearing then the the 1:06:31 public hearing can be conducted tonight because it's noce for having it tonight if if you would like to continue forward I mean that's I think your discretion to 1:06:38 do that and and again it's not committing you to anything it's just acknowledging that the traditional abatement process had not been 1:06:46 followed in accordance with State Statute we acknowledge that and we're still willing to move forward on it and is it a safe presumption that if 1:06:55 we do nothing is endangered because we're doing this right if we table it nothing nothing is endangered other than it just delays 1:07:05 that's my knowledge okay the question then if this were to be in committee and say we were able to 1:07:12 have a committee meeting in the next week um if we didn't have the public hearing 1:07:18 tonight then that doesn't give us enough time to post for public hearing at the next meeting am I correct 1:07:26 um it's a it's a 10-day public hearing notice for the the waiver process what you would essentially be doing is we'd be probably just delaying this out an 1:07:35 additional council meeting so once we bring it back um assuming we bring all three back or two of the three back 1:07:42 after you approve uh for your consideration the declaratory resolution we'll have to publish another notice for a public hearing on the confirmatory 1:07:50 resolution so we're just adding uh potentially an additional council meeting should we check if anyone's here 1:07:57 for the public hearing you know if they bothered coming out should we check the audience I mean yeah we could but we I 1:08:05 mean it's technically we we would need to open it for officially open it commitment for refinancing is there a commitment on a timely basis 1:09:29 or is that six months down the road or we going to are are we going to sit back and watch interest 1:09:36 rates fluctuate crossing our fingers that they'll go down Y and they may not go 1:09:43 down and so we don't refinance and so there may be zero savings to the city so what what commitment do we have by 1:09:52 the city tonight is there I think I think the commitment right now is to watch the interest rates as you as 1:10:00 you mentioned because of the situation that we're in we would love for the interest rates to drop and to be at your next council meeting starting the 1:10:09 refinancing process but until that point in time happens we can't predict that we think um as we're watching the markets 1:10:16 with the new presidential a transition taking place you probably I mean Andy can speak to this more than I can but in 1:10:24 my experience you're kind of locked for 30 to 60 days during the transition and then interest rates start to fluctuate uh based on other market conditions so 1:10:33 what we would like to be in the position of is being in the driver seat of having that conversation so that we can come back to you without seeking additional 1:10:41 approvals to say that we're now ready to start the refinancing process or to even complete the refinancing process and to 1:10:49 come back to you for final approval to say the interest rates dropped we have an opportunity to save the city $50 to $100,000 a year let's take advantage of 1:10:57 it now and if we aren't in that position we're afraid that we might lose that window whenever it may present 1:11:04 itself thank you so the commitment basically is when they go down you guys are willing to do that at that time 1:11:12 absolutely we have a you know it would make sense it would save us save us I'll say the taxpayers money 1:11:22 so um okay so I mean the motion on the floor was to send all three to committee 1:11:30 um you know we've had some discussion about whether we do the public hearing on resolution two if it's favorable that 1:11:38 you would want to do that public hearing then we would need to amend that motion and basically table or not table send 1:11:47 resolution one to committee move to two have the public hearing do another motion to send it to committee and then 1:11:55 move to three to send a committee am I correct in that process I'm looking at the legal team here absolutely would you be 1:12:05 willing to do that councilman um I tell you let me let this motion stand if it gets authorize the abatement then you come back and have a public hearing on the confirmatory resolution yeah the the public hearing for this evening would 1:13:37 just be on the non-compliance that's correct but I think the real me of this is in resolution three correct you got it okay for processing the abatement 1:13:46 that's absolutely correct Mr President question for Mr Klein and Mr Caine in your motion and your 1:13:53 second are are we 100% then moving this at least two weeks down the road or is there still a 1:14:00 possibility of of regaining the momentum question makes sense this public probably wants to digest it a little more and and have those conversations so back to the 1:15:04 motion and the second um so if basically if you vote Yes on this um basically 1:15:13 we're sending it all to committee we won't have the public hearing tonight if you vote no then it's shot down we come back to 1:15:22 resolution one you can then make another motion to just send resolution totally understand why you guys chose what you 1:17:27 chose um so we talk about the 600 620,000 it's like the net savings for Cafe Valley it's important to understand 1:17:36 and it's very counterintuitive but it's the choice is not Cafe Valley saves that money or the city gets the money that is not the case 1:17:45 if you guys do not approve this it it doesn't go into the the overall tax roles that's just not the way it works 1:17:53 uh so that's just just food for thought it's very counterintuitive because in a normal abatement that's really kind of the choice you're making is are we going to collect this tax or are we not going 1:18:00 to collect this tax because of this Bond structure it's totally different the other observation do you concur I do he's your expert not me um 1:18:10 uh the other thing I was just going to throw out there so again this is really there's there's kind of three different reasons this is happening but um if you were to take this project and take it 1:18:19 outside of Cafe Valley right and say somebody knocked on your door tomorrow and said we're going to invest $20 million will you just give us a quote 1:18:26 unquote normal abatement whatever that means right 10 years you start at 100 and you kind of Ratchet it down if you did that for Joe Schmo company that 1:18:34 knocks on your door that's going to save them around a million dollars so even with the that's a that's a ratcheting 1:18:41 down 90 80 right that's going to save them about a million dollars in this scenario we're saying we're not going to ratchet it down we're 1:18:49 going to keep it 100% and we're going to do it for 12 years not 10 years and it's still only going to save them $600,000 so this is this is still just because 1:18:57 we're trapped within this Bond structure this is still actually a smaller savings amount to the company than it kind of 1:19:05 quote unquote normally would be if someone knocked on your door to make an investment so I'm not trying to talk you any anything really I just I do think 1:19:12 it's good for you guys to understand this as much as you can because I've stared at these numbers a lot and I know you have two and it's it's it's very 1:19:18 complicated but that is those two points I think are very relevant to the way you guys think about it uh we really 1:19:25 appreciate that um and um I think definitely the the council as a whole is looking forward to kind of digesting you know after you leave and can reread 1:19:34 everything and and then have follow-up conversations um I would anticipate maybe this go favorably um but obviously 1:19:42 it's up to the rest of the council and we'll get all our questions answered hopefully in our committee meeting so I appreciate the council wanting to have 1:19:50 that due diligence so U go ahead and and I agree with you but I think this is kind of what I want you to kind of 1:19:59 understand from our point of view I understand from your point of view and and
